Franchise Agreement Policies & Operational Compliance
Governing commercial licensing, ingredient sourcing integrity, quality audits, brand attire, pricing rigidity, and franchisee responsibilities under Irani Koyla Shawarma.
Franchise Fee & Non-Refundability Policy
The standard one-time Franchise Fee is ₹8,00,000 (Rupees Eight Lakhs INR), payable upon signing the formal agreement or issuing a commercial booking confirmation.
5-Year Term of Agreement & 5-Year Renewal Framework
The initial franchise license is granted for a fixed period of 5 (Five) Calendar Years from the official execution date of the agreement.
At the end of each 5-year cycle, the agreement may be renewed for an additional 5-year term, subject to:
- Satisfactory quarterly audit record with no unrectified brand violations.
- Strict adherence to food safety, hygiene, and authentic recipe SOPs.
- Payment of the prevailing standard renewal administrative fee.
Mandatory Ingredient Sourcing & Secret Spices (Zero Tolerance Policy)
The core competitive moat of Irani Koyla Shawarma lies in its authentic charcoal aroma, proprietary marinades, and signature sauces.
Franchisees are legally bound to source 100% of all proprietary spice blends, marinades, signature garlic toum bases, specialized seasonings, and branded wrappers exclusively from the franchisor's authorized central supply chain.
Non-Transferability & Outlet Relocation Transfer Fee
The franchise license is issued exclusively for the approved physical address and the registered legal entity. The franchise is NON-TRANSFERABLE and non-assignable to any third-party individual or company without prior written consent from the franchisor.
Relocation Policy: If a franchisee desires to shift or relocate the outlet from one location to another (such as changing markets or premises within the city), a formal relocation request must be submitted for territory review, and the designated relocation transfer fee must be paid again prior to starting operations at the new site.
Quarterly Audits (Quality, Hygiene, Taste, Packaging) & 3-Warning Protocol
To ensure uniform taste and safety standards nationwide, certified brand auditors will conduct mandatory audits every 3 (Three) Months covering food quality, kitchen cleanliness, charcoal roasting protocols, packaging, and FSSAI standards.
Official written inspection report issued with a strict 7-day cure period.
Formal penalty notice, mandatory retraining visit & compliance fine.
Immediate license termination, cessation of supplies, and legal action.
Staff Uniforms, Branded Attire & Grooming Mandate
The official brand image is paramount. Irani Koyla Shawarma provides standard branded uniforms (t-shirts, caps, aprons) free of cost 1st time during the initial store launch.
As team size expands or replacement uniforms are needed over time, additional sets must be purchased from the brand at standardized nominal pricing.
Mandatory Grooming: All kitchen and counter staff must strictly wear the official uniform, cap/hairnet, and hygiene gear at all times during operational hours. Serving customers without official branded attire will incur audit deductions and penalty notices.
Standardized Menu Rigidity & Centrally Fixed Pricing
The authorized menu items, meat portion weights, and Maximum Retail Prices (MRP starting from ₹80) are determined centrally by brand management.
Franchisees are strictly prohibited from modifying menu prices, introducing unauthorized third-party food items, altering recipe portion weights, or offering unauthorized discounts without explicit written sanction from head office.
Master Trainer Deployment Scope & Extended Training
An official master trainer / head chef will be deployed on-site for the 1st week of store launch to train kitchen cooks in charcoal smoking, slicing, sauce ratios, and high-speed wrapping.
If the franchisee requests trainer deployment beyond the 1st week (such as replacement cook onboarding, refresher programs, or extended launch support), standard trainer daily per-diem fees and travel/stay expenses will apply.
Operational Continuity & Dedicated Problem Resolution Support
Outlets must maintain consistent daily operational hours to serve customer demand. An outlet CANNOT be shut down or abandoned without a valid documented reason and prior written notification to head office.
In the event of any equipment malfunction, supply disruption, or staffing issue, the franchisee must report it immediately to our dedicated support desk. The brand commits to providing rapid technical, operational, or logistics resolution.
5% Monthly Royalty & POS Reporting Compliance
The Franchisee agrees to remit 5% of gross monthly sales as brand royalty by the 5th of every calendar month.
Outlets must maintain active integration with the franchisor's authorized cloud POS billing system to facilitate transparent real-time sales reporting and inventory reconciliation.
Intellectual Property Protection & 24-Month Non-Compete
All trademarks, logotypes, recipes, marinades, operating manuals, and interior blueprints remain the exclusive intellectual property of Irani Koyla Shawarma.
Upon termination or non-renewal of the agreement, the franchisee agrees to a strict 24-month non-compete covenant prohibiting direct or indirect operation of similar charcoal shawarma or middle-eastern QSR businesses within a 5-kilometer radius of the store.
Governing Law & Legal Jurisdiction
This agreement and all franchise operations shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Maharashtra, India.
